Investeringsforeningen Sydinvest: Annual General Meeting
Notice is hereby given that the Annual General Meeting of Investeringsforeningen Sydinvest will be held on Wednesday 1 April 2020 at 15:00.
The general meeting will be held at Sønderjyllandshallen, H.P. Hanssens Gade 7, 6200 Aabenraa, Denmark.
Appointing a proxy
If you do not wish to or are unable to attend the general meeting, you may issue a proxy to the Board of Directors or a person of your choice to represent you at the general meeting. You can do so at www.sydinvest.dk/gf using your NemID. Please note that the deadline for issuing proxies is Wednesday 25 March 2020 at 23:59.
1) The Board of Directors’ review of the previous year.
2) Presentation of the annual report for adoption, proposals for the allocation of the profit for the year, any proposals for the allocation of proceeds in relation to asset realisations as well as approval of the remuneration of board members, cf Article 19(6) of the Articles of Association.
3) Proposals submitted by the Board of Directors or investors.
Proposals submitted by the Board of Directors:
A. Change in distribution according to Article 26(3).
To change the last sentence of Article 26(3) of the Articles of Association, which concerns distribution in addition to minimum dividend distribution, from “However in the years when capital gains without an obligation to distribute dividends have been obtained, dividends consisting of interest income less administrative costs will be distributed, however a maximum equal to 2% of the nominal assets.” to “However in the years when the minimum distribution in accordance with Article 26(1) represents less than 2% of the nominal assets, dividends equal to the higher of either the minimum distribution in accordance with Article 26(1) or dividends consisting of interest income less administrative costs will be distributed, however a maximum equal to 2% of the nominal assets.”
B. Amendment to Article 6 regarding Fonde KL.
To change the fund’s description of investments from “The fund invests in bonds denominated in DKK. The fund seeks to achieve a high running yield in preference to price increases. The fund targets mainly foundations, UCITS and trusts.” to “The fund invests in interest bearing bonds denominated in one of the member countries’ currency units. The fund seeks to achieve a high running yield in preference to price increases. The fund targets mainly foundations, UCITS and trusts.”
as well as in item 1 under the fund from “may invest in bonds which have been accepted for trading on markets approved by the Danish FSA or which are considered by the Investment Fund to adhere to the guidelines of the Danish FSA, see Appendix 1” to “may invest in bonds which have been accepted for trading on markets approved by the Danish FSA or which are considered by the Investment Fund to adhere to the guidelines of the Danish FSA, see Appendix 1, and section 5(2) of the Danish executive order on investments of non-commercial foundations.”
4) Authorisation of the Board of Directors to implement such amendments to the Articles of Association of the Investment Fund as may be ordered by public authorities, including the Danish FSA, as a condition for approval.
5) Election of board members.
6) Appointment of auditor.
7) Any other business.
Voting rights and agenda
Any unit-holder of the Investment Fund is entitled to attend the general meeting if the unit-holder has registered for the general meeting electronically or by contacting Syd Fund Management A/S no later than five banking days prior to the general meeting. Admission cards will be sent electronically and must be printed and brought for presentation to the general meeting. In connection with registration via Syd Fund Management A/S admission cards are provided at the entrance.
Voting rights may be exercised only in relation to units which have been registered in the name of the relevant unit-holder in the Investment Fund’s books one week prior to the general meeting. The admission cards will be scanned on the date of the general meeting and voting cards will be provided in relation to the investor’s voting assets, cf the share register.
The agenda, the complete proposal to amend the Articles of Association and the annual report including the auditor's report will be available for inspection by the unit-holders at the premises of the Investment Fund no later than eight days before the general meeting.
