Notice is hereby given that the Annual General Meeting of Investeringsforeningen Sydinvest will be held on Thursday 4 April 2019 at 15.00.

Investeringsforeningen Sydinvest
The general meeting will be held at Sønderjyllandshallen, H.P. Hanssens Gade 7, 6200 Aabenraa, Denmark.

Appointing a proxy
If you do not wish to or are unable to attend the general meeting, you may issue a proxy to the Board of Directors or a person of your choice to represent you at the general meeting. You can do so at www.sydinvest.dk/gf using your NemID. Please note that the deadline for issuing proxies is Thursday 28 March 2019 at 23.59.
 

Agenda

  1. The Board of Directors’ review of the previous year.
     
  2. Presentation of the annual report for adoption, proposals for the allocation of the profit for the year, any proposals for the allocation of proceeds in relation to asset realisations as well as approval of the remuneration of board members, cf Article 19(6) of the Articles of Association.
     
  3. Proposals submitted by the Board of Directors or investors.
    Proposals submitted by the Board of Directors:

    A. Merger of the fund Scandi KL and the fund Danmark KL.
    To merge the fund SCANDI KL into the fund Danmark KL unit class A DKK as stipulated in the published merger documents. The discontinuing fund SCANDI KL will be deleted from the Articles of Association. As a consequence the numbers of Article 6 will be adjusted and the numbers 18 to 39 will be changed to 17 to 38.

    B. Change in distribution according to Article 26(3).
    To add to Article 26(3) of the Articles of Association which concerns distribution in addition to minimum dividend distribution “, however a maximum equal to 2% of the nominal assets” whereby the last sentence is changed to “However in the years when capital gains without an obligation to distribute dividends have been obtained, dividends consisting of interest income less administrative costs will be distributed, however a maximum equal to 2% of the nominal assets”.

    C. Simplified liquidation of the fund Virksomhedsobligationer HY 2019 KL.
    The Board of Directors proposes that the fund Virksomhedsobligationer HY 2019 KL be liquidated in accordance with the provisions of Section 115 of the Danish Investment Associations, etc, Act (simplified liquidation).

    D. Amendment of the Investment Fund’s Articles of Association.
    Subject to the adoption of the proposal for simplified liquidation, see item C above, the Board of Directors proposes that Article 6(6) of the Articles of Association be changed and “(in liquidation)” be added to the fund’s name during the liquidation period.

    E. Authorisation to delist the fund Virksomhedsobligationer HY 2019 KL.
    The Board of Directors proposes that the general meeting authorise the Board of Directors to delist the fund Virksomhedsobligationer HY 2019 KL from Nasdaq Copenhagen provided that the proposal for simplified liquidation is adopted.
     
  4. Authorisation of the Board of Directors to implement such amendments to the Articles of Association of the Investment Fund as may be ordered by public authorities, including the Danish FSA, as a condition for approval.
     
  5. Election of board members.
    A description of nominated candidates is available at sydinvest.dk.
     
  6. Appointment of auditor.
     
  7. Any other business.


Voting rights and agenda
Any unit-holder of the Investment Fund is entitled to attend the general meeting if the unit-holder has registered for the general meeting electronically or by contacting Syd Fund Management A/S no later than five banking days prior to the general meeting. Admission cards will be sent electronically and must be printed and brought for presentation to the general meeting. In connection with registration via Syd Fund Management A/S admission cards are provided at the entrance.

Voting rights may be exercised only in relation to units which have been registered in the name of the relevant unit-holder in the Investment Fund’s books one week prior to the general meeting. The admission cards will be scanned on the date of the general meeting and voting cards will be provided in relation to the investor’s voting assets, cf the share register.  

The agenda, the complete proposal to amend the Articles of Association and the annual report including the auditor's report will be available for inspection by the unit-holders at the premises of the Investment Fund no later than eight days before the general meeting.
